Terms and conditions for retailers
Non-binding translation for convenience. Only the German version is legally binding.
Version: 17 October 2026
1. Scope
1.1 These terms and conditions apply to all orders placed in the “Mizodia Partner” retailer area of the online shop mazodia.com. The provider is Youvendo GmbH, Im Stöckacker 18, 79224 Umkirch, represented by its managing directors Ali Moghadam, Marc Begoug and Felix Streckfuss, registered in the commercial register of the Local Court (Amtsgericht) of Freiburg under HRB 723568, VAT ID (USt-IdNr.) DE340943742 (“Mizodia”).
1.2 The retailer area is open exclusively to traders (Unternehmer) within the meaning of § 14 BGB (German Civil Code), legal entities under public law and special funds under public law, for example funeral homes, cemetery administrations, pet funeral services and jewellers. Mizodia activates retailer accounts after verification and may request proof of trader status.
1.3 Deviating terms and conditions of the Retailer apply only if Mizodia agrees to them in writing.
1.4 For orders placed in the retailer area, these terms and conditions take precedence over the General Terms and Conditions for consumers.
2. Conclusion of the contract
2.1 The presentation of the products in the retailer area does not constitute a binding offer. By submitting the order, the Retailer makes a binding offer.
2.2 The contract is concluded when Mizodia confirms the order by email or dispatches the goods. The automatic acknowledgement of receipt does not yet constitute acceptance.
3. Prices and payment
3.1 The retailer prices displayed in the retailer area apply. All prices are net prices plus statutory VAT.
3.2 Deliveries to retailers in other EU member states with a valid VAT ID are made tax-exempt. In that case, the tax liability passes to the Retailer (reverse charge). The Retailer is responsible for the accuracy of its VAT ID.
3.3 Payment is made directly online when ordering, using the payment methods offered at checkout. The Retailer receives the invoice showing VAT separately by email.
3.4 The stated non-binding recommended retail price (RRP) is for guidance only. The Retailer is free to set its own selling prices.
4. Delivery and shipping
4.1 Shipping costs are based on the rates displayed at checkout.
4.2 Personalised pieces are produced after receipt of the engraving template and, where applicable, after approval of the engraving, usually within 5–10 working days. Mizodia usually ships items in stock within 1–3 working days. Information on delivery times is non-binding unless a fixed date has been expressly agreed.
4.3 The risk passes to the Retailer upon handover of the goods to the carrier (§ 447 BGB).
4.4 On request, Mizodia ships directly to the Retailer’s customer. In this case, the Retailer provides the delivery address correctly and completely.
5. Engraving templates and rights
5.1 The Retailer submits engraving templates (for example fingerprints, handwriting, photos, drawings) via the designated channels and states an order reference (Kommission) or customer reference with each order so that Mizodia can match the template.
5.2 The Retailer warrants that it is entitled to use and pass on the templates and that the templates do not infringe any third-party rights. It indemnifies Mizodia against any third-party claims based on a breach of this warranty.
5.3 Mizodia checks the technical suitability of the templates for engraving and will get in touch if a template cannot be used. The Retailer is responsible for the content of the template.
5.4 Mizodia processes personal data from templates and orders solely for the purpose of processing the order. Details are set out in the Privacy Policy.
6. No right of withdrawal, samples
6.1 Retailers have no statutory right of withdrawal.
6.2 Personalised pieces are excluded from exchange and return.
6.3 Sample collections, sample sets and genuine gold upgrades become the property of the Retailer upon payment. They are excluded from exchange and return unless there is a defect.
7. Duty of inspection and defects
7.1 The Retailer inspects the goods without undue delay after receipt and gives notice of apparent defects, incorrect deliveries and transport damage in text form (b2b@mazodia.com) within 5 working days. Defects that become apparent later must be notified without undue delay after discovery (§ 377 HGB, German Commercial Code).
7.2 In the case of justified defects, Mizodia provides, at its own discretion, rectification or replacement. If subsequent performance fails, the Retailer may reduce the price or withdraw from the contract.
7.3 The limitation period for claims for defects is 12 months from delivery. This does not apply in cases of intent, gross negligence, injury to life, body or health, or in the cases of §§ 445a, 445b and 478 BGB.
7.4 Natural wear and tear, in particular of the gold plating on stainless steel jewellery caused by wearing, cosmetics, chlorine or salt water, is not a defect.
8. Retention of title
The goods remain the property of Mizodia until paid in full. The Retailer may resell the goods in the ordinary course of business.
9. Liability
9.1 Mizodia is liable without limitation in cases of intent, gross negligence, injury to life, body or health, and under the Produkthaftungsgesetz (German Product Liability Act).
9.2 In the event of a slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical of the contract. Otherwise, liability for slight negligence is excluded.
10. Brand, images and texts
10.1 The Retailer may use the Mizodia brand as well as the images and texts provided by Mizodia for the sale of Mizodia products, for example in its shop, on its website and on social media.
10.2 The right of use ends when the business relationship ends. Any editing that gives the impression of the Retailer’s own brand is not permitted.
11. Final provisions
11.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
11.2 The place of jurisdiction is Freiburg im Breisgau, provided that the Retailer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law.
11.3 Should any provision be invalid, the validity of the remaining provisions remains unaffected.
